1. Program Operator and Transition of Existing Accounts

These terms and conditions ("Terms") govern the IPIC ACCESS Membership Rewards Program ("IAMRP" or the "Program"). The Program is operated by CB Theater Experience, the owner and operator of the IPIC brand. By purchasing a membership, enrolling in the Program, using a membership account, earning or redeeming Points or Rewards, or otherwise participating in the Program, you agree to be bound by these Terms as amended from time to time.

CB Theater Experience has assumed operation of the IPIC ACCESS Membership Rewards Program. Existing member accounts, existing points balances, existing rewards, existing member levels, annual memberships, and available member benefits remain active and will continue to be administered under these Terms, subject to expiration rules, availability, and any limitations described in these Terms or in Program materials.

These Terms are in addition to, and do not replace, the IPIC Terms of Use, Privacy Policy, Terms of Sale, Gift Card Terms, and other Additional Terms that apply to specific transactions or services. If there is a conflict between these Terms and the IPIC Terms of Use with respect to the Program, these Terms control.

The Company reserves the right to modify, adjust, or terminate any legacy benefits, points structures, or member levels inherited from the prior operator at its sole discretion, subject to the notice provisions herein.

CB Theater Experience has assumed operation of the Program effective as of May 22, 2026. The Company is not responsible for any system errors, data omissions, or liabilities arising from the administration of the Program prior to this effective date.

2. Membership in the Program

IAMRP is open only to legal residents of one of the fifty (50) United States or the District of Columbia who are 18 years of age or older. Members under the age of majority in their jurisdiction must obtain permission from a parent or legal guardian to enroll. Business entities, organizations, and groups may not register for IAMRP or earn or redeem Points or Rewards.

Membership is valid only at participating IPIC theaters and IPIC-branded or associated restaurants in the United States. You agree to take commercially reasonable precautions to protect user names, passwords, and other account credentials. You may not sell, transfer, or assign your membership or membership rights.

An individual may not have more than one IAMRP account. If you have created more than one account, please contact a participating IPIC theater location for assistance in merging accounts. If we determine or reasonably suspect that multiple accounts were created to abuse IAMRP, we may terminate the accounts and cancel Points, Rewards, or benefits. In a permitted merger, only one account will retain its points, and points in other merged accounts may be forfeited. Permitted account mergers are final and non-reversible when submitted.

3. Membership Enrollment

To enroll in IAMRP, you must provide requested information, which may include name, date of birth, telephone number, zip code, email address, and other account information, by visiting the IPIC website or IPIC mobile application to register online, or by registering at a participating IPIC location. After you complete registration and, if you choose a paid portion of IAMRP, after we receive applicable Annual Fees, you will become an IAMRP member.

CB Theater Experience reserves the right, in its sole discretion, to verify information collected when you open an IAMRP account and, at any time, to suspend or terminate your account and participation in IAMRP for any reason, including suspected fraud or non-compliance with these Terms or the IPIC Terms of Use. Suspension or termination may result in loss of Points and Rewards. You are responsible for maintaining accurate and current contact information.

4. Membership Fees and Refunds

Eligible participants may join IAMRP as a Silver member for free or, upon payment of the applicable annual membership fee ("Annual Fee"), may enjoy a paid IAMRP membership with additional benefits described in these Terms and on the IPIC website. Annual Fees are displayed on the IPIC website. We reserve the right to change Annual Fees at any time, provided that fee changes apply only to new memberships and renewal memberships beginning on or after the effective date of the fee change.

IAMRP members may cancel membership at any time as provided in these Terms. Annual Fees are non-refundable except that we will refund the Annual Fee for a new or renewal membership upon proper cancellation within thirty (30) days after purchase of the new or renewal membership or the charge date for automatic renewal, provided that you did not use the membership to obtain benefits, Points, Rewards, or discounts during that term.

5. Membership Term and Billing

A paid IAMRP membership is valid for one (1) year from the date of purchase ("Membership Term"), except as otherwise stated in these Terms. Each year that IAMRP remains in effect, you may renew a paid membership by paying the then-current Annual Fee before expiration of the current Membership Term. A free IAMRP membership remains valid until cancelled or terminated in accordance with these Terms.

A renewal or automatic renewal within a current Membership Term extends the existing expiration date by one (1) year, with the renewal term beginning the day after the current Membership Term ends. We may restrict IAMRP members from purchasing more than one renewal per year.

We may offer automatic renewals. If your IAMRP membership is set to renew automatically annually, the Annual Fee in effect at the date of renewal will be billed annually and automatically to the payment card provided at enrollment or another default payment method on file. You will be billed on or around the last day of the existing Membership Term. You may opt out of automatic renewal by changing settings in your IAMRP member profile on the IPIC website or IPIC mobile app. To avoid being charged for a renewal, you must opt out before 12:00 a.m. Eastern Time on the day your current Membership Term ends.

Each IAMRP member agrees to provide true and accurate information and to promptly update that information. We are not responsible for loss or inability to use or participate in IAMRP arising from failure to provide and maintain accurate contact information. IAMRP members agree to receive messages using the contact information provided, including system updates, point and member-level benefit information, reward confirmations, administrative announcements, special requests, and similar messages by email, regular mail, receipt, in-app notice, or other means.

Enrollment and participation are personal and non-transferable. Points, Member Level status, and Rewards may not be purchased, sold, bartered, brokered, or otherwise transferred. IAMRP accounts, Points, and Member Level status are not transferable upon death, as part of a domestic relations matter, or by operation of law. Offers are specific to the member account unless otherwise stated.

6. Earning Points

IAMRP members can earn IPIC ACCESS Points ("Points") for qualifying purchases and transactions. All IAMRP members are eligible to earn Points as described in current Program materials, the IPIC website, the IPIC mobile app, and participating location materials.

Points have no cash value and are not redeemable for cash, gift certificates, gift cards, or cash equivalents. Accumulated Points and Rewards do not constitute property of any member and are not descendible, inheritable, barterable, purchasable, transferable, or saleable to any third party.

Qualifying purchases and corresponding Point amounts are set forth on the IPIC website or in materials available at participating IPIC locations. We may change, modify, or update qualifying items and Points at any time. Points may not be earned for taxes unless included in posted prices, purchases of alcoholic beverages, gratuities, purchases of gift cards or gift certificates, IAMRP membership purchases, purchases made using Points, or purchases or transactions that are cancelled, refunded, or reversed.

Following activation of your IAMRP account, you may associate your account with a qualifying purchase or transaction by providing your name, valid telephone number, or valid email address tied to the account before completing a qualifying purchase at a participating IPIC location or IPIC-associated restaurant, or by being logged into your account when making a qualifying purchase on the IPIC website or IPIC mobile app.

Points are automatically tracked when a recognized and accepted member identification method is provided at the time of purchase. A member must provide account information or be logged into the account before conclusion of the qualifying purchase to earn Points, except that a member may request retroactive credit for qualifying purchases made within the previous thirty (30) days as described below.

If Points are earned on a purchase or transaction that is later reversed or refunded, those Points will be deducted from the account. Points from a single qualifying purchase may be credited to only one membership account unless we permit multiple members to associate accounts with a single transaction, in which case Points may be split among the members. Points may take twenty-four (24) hours or more to be credited. We are not liable for delays in crediting Points or Member Level benefits.

If you are a current IAMRP member and did not associate your account with a qualifying purchase made within the past thirty (30) days, you may request retroactive Points by visiting a participating IPIC theater location and speaking with a representative. We may require proof of purchase. Requests for retroactive Points are subject to verification. Retroactive Points may be unavailable for certain membership levels, purchases, transactions, or periods as described in current Program materials.

7. Member Levels

Membership is divided into status tiers (each a "Member Level"). Members who participate without paying an Annual Fee will have the Silver Member Level. Members who purchase a paid membership and pay the Annual Fee will receive the Gold Member Level and may earn a higher Member Level based on the number of ticket purchases made during the Membership Term. Details regarding Member Levels, requirements, benefits, and restrictions are provided on the IPIC website and are subject to change at any time.

Benefits connected with a higher Member Level status are available beginning on the business day after the new status is reached. Benefits may have their own terms and will expire according to the terms stated for that benefit. Ticket purchases that are reversed or refunded will not count toward Member Level calculations. If a reversal or refund occurs, Member Level may be downgraded accordingly.

For any Member Level earned based on ticket purchases, you will receive the applicable status upon making the required number of purchases and will retain that status for the remainder of the current Membership Term and the immediately succeeding renewal term, provided that you timely renew the membership and pay the Annual Fee. Members must meet ticket-purchase requirements each year or may lose status at the conclusion of the current Membership Term.

If you do not renew a paid IAMRP membership before the end of the current Membership Term, you will have thirty (30) days from expiration ("Grace Period") to decide whether to pay the Annual Fee and continue. If you renew within the Grace Period, you will retain the Member Level status earned in the previous Membership Term, and the renewed Membership Term will be one year following the prior expiration date. If you renew after the Grace Period but less than one year after expiration, you may have reinstatement options as described in current Program materials. If you do not renew within one year, you will not be entitled to reactivate or receive prior Member Level status or related benefits; however, Points may remain available for redemption subject to expiration rules.

8. Redeeming Points for Rewards

To redeem Points for rewards ("Rewards"), you must present information sufficient for us to locate your account, such as membership number, name, email address, or telephone number, at a participating IPIC location or IPIC-associated restaurant, or be logged into your account for online transactions. Rewards are subject to availability and limitations we may impose. You must have enough unredeemed and unexpired Points ("Available Points") for the Reward requested.

Members must accrue at least five hundred (500) Points over the life of the membership account before the first redemption of Points. Points earned in a predecessor IPIC membership program will be considered IPIC ACCESS Points for calculating this minimum earning requirement. Only one membership account may be used to redeem Points in a transaction. Points accrued in a purchase or transaction may be redeemed only in a separate, subsequent purchase or transaction.

Points will be subtracted from the account when a Reward is requested. Points will be refunded only if we determine, in our sole discretion, that the requested Reward is unavailable, cannot be delivered, or is defective. A list of current Rewards and Points needed for redemption is available at participating IPIC locations, associated restaurants, or on the IPIC website. We may add, remove, limit, or modify Rewards and Point requirements at any time.

Rewards may not be used in connection with showings or features designated as special engagements unless expressly permitted. Due to technical failures, system outages, or other reasons, membership benefits or ability to redeem Rewards may be unavailable during a visit. Members are not entitled to compensation for technical failures or temporary unavailability.

9. Expiration of Points and Benefits

Except as otherwise set forth in these Terms, unredeemed Points expire two (2) years after the qualifying purchase or transaction that generated those Points, regardless of Member Level status. When Points are redeemed for Rewards, the oldest Available Points are used first. Earned companion tickets expire one (1) year after the qualifying purchase or transaction that generated those companion tickets. 10. Loss of Points; Cancellation; Termination

An IAMRP member may cancel membership at any time, for any reason, by submitting a request through the IPIC contact form or by regular mail to CB Theater Experience, IPIC Membership Program, 4300 Biscayne Blvd., Suite 203, Miami, FL 33137, United States. Include your name, account number, telephone number, and email address associated with the account. Annual Fees are non-refundable except as expressly described in these Terms.

Unless you have elected automatic renewal, a paid membership may be automatically cancelled if not properly renewed. A member account terminates immediately upon the member death, and accrued Points and Rewards are forfeited.

Upon cancellation, active membership immediately ceases and the member may no longer earn new Points or receive Program benefits unless the member re-enrolls. We may maintain account information on file. Points may remain in the account and expire according to these Terms; however, certain redeemable or active benefits may be forfeited upon cancellation. Any use or redemption after cancellation remains subject to these Terms. No refund will be provided for unredeemed Points or benefits after cancellation.

We may suspend or terminate any IAMRP account if we believe the member has abused Program privileges, violated these Terms or applicable law, or acted in a manner harmful to our interests. Abuse or violations include using automated or fraudulent means to participate or earn Points, failure to follow applicable terms, attempted or actual sale or transfer of Points, Rewards, or membership account, and misrepresentation in connection with participation. Termination may result in immediate forfeiture of all Points, Rewards, and Member Level benefits and inability to redeem or earn additional Points or benefits. No refunds will be provided for an account terminated or suspended for abuse, fraud, or violation.

We reserve the right to terminate IAMRP, or any benefits under IAMRP, at any time and for any reason, including sale, transfer, reorganization, or discontinuation of the IPIC brand, locations, or Program. If IAMRP is terminated, we may either maintain benefits until expiration of the current Membership Term or issue a pro-rata refund of Annual Fees for the remaining portion of the current Membership Term. If benefits are maintained, Member Level benefits and unredeemed, unexpired Points may be cancelled and forfeited at the conclusion of the existing Membership Term. If a pro-rata refund is issued, Member Level benefits and unredeemed, unexpired Points may be cancelled and forfeited ninety (90) days after Program termination.

11. General Restrictions

You agree to abide by our final and binding decisions regarding IAMRP and your participation in it. We are the sole arbiter in cases of suspected abuse, fraud, or violation of Program rules, and our decisions relating to termination, suspension, disabling of membership, or cancellation of Points are final and binding to the maximum extent permitted by law.

If you object to these Terms, later modifications, or become dissatisfied with IAMRP, your only recourse is to discontinue participation and properly cancel your membership account as described in these Terms.

12. Disclaimer of Warranties and Limitation of Liability

To the maximum extent permitted by applicable law, members expressly agree that use of and participation in IAMRP is at the member sole risk. The Company Parties will not be liable to members or anyone else for any loss, injury, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of use of or inability to enroll in, access, use, or participate in IAMRP or any action taken in response to information available through IAMRP.

No Company Party is responsible or liable for error, omission, interruption, defect or delay in transmission, order processing, or communication; technical or mechanical malfunctions; errors in these Terms or Program materials; human processing error; failures of electronic equipment, computer hardware or software; damage to equipment; or inaccurate information, whether caused by equipment, programming, human error, or otherwise.

To the maximum extent permitted by law, IAMRP and all services and Rewards are provided on an "as is," "as available," and "with all faults" basis. The Company Parties make no warranty with regard to products, services, or Rewards obtained through IAMRP or through advertisers, sponsors, or partners; make no warranty that IAMRP will be uninterrupted, timely, secure, or error-free; and make no warranty regarding results that may be obtained from use of IAMRP.

Your sole remedy for dissatisfaction with any portion of IAMRP is to cease participation. The sole and exclusive maximum aggregate liability of the Company Parties for all damages, losses, and causes of action, whether in contract, tort, negligence, or otherwise, will be the greater of five dollars ($5.00) or the total amount paid by you for IAMRP membership. This limitation does not limit rights to recover attorneys fees or costs where applicable or liability that cannot be limited under applicable law, including for personal injury or tangible property damage caused by gross negligence, fraud, or intentional, willful, malicious, or reckless conduct.

CB Theater Experience will be excused from performance under these Terms to the extent prevented or delayed, in whole or in part, as a result of weather conditions, acts of God, war, terrorism, insurrection, riots, civil disorders, rebellion, quarantines, embargoes, labor strikes, or other causes beyond reasonable control.

You agree that any damages, losses, or injuries arising out of acts or omissions relating to IAMRP are not irreparable or sufficient to entitle you to injunctive or equitable relief restraining continued operation, development, production, distribution, advertising, exhibition, or exploitation of IAMRP or any website, mobile app, property, product, or service owned, operated, or controlled by the Company Parties, except to the extent such limitation is prohibited by applicable law.

13. Participation in Promotions of Advertisers and Partners

Members acknowledge that we do not endorse the contents of advertisements of partners or sponsors appearing in connection with IAMRP. We assume no liability, obligation, or responsibility for correspondence or promotions, including withdrawal or modification of offers or promotions. In some cases, there may be a delay in crediting Points for promotions of advertisers, sponsors, or partners due to reasons outside our control. We are not responsible or liable for losses, claims, costs, or expenses incurred as a result of delay or failure to credit Points.

14. Notices

Notices in connection with IAMRP may be transmitted, in our discretion, by email, regular mail, general posting on the IPIC website, posting in participating IPIC locations or associated restaurants, in-app notice, account notice, or other methods deemed appropriate or permitted by law. Notices regarding modification of these Terms will be provided as described below.

15. Governing Law, Class-Action Waiver, Dispute Resolution and Arbitration

These Terms and participation in IAMRP are governed by the law of the State of Florida, excluding conflict-of-laws principles. Arbitration proceedings are governed by federal arbitration law and the JAMS rules or the rules of any successor arbitration administrator selected in accordance with this section.

Both you and the Company Parties waive the right to a trial by jury and the right to bring or resolve any dispute as a class, consolidated, representative, collective, or private attorney general action. Both you and the Company Parties waive the right to participate in any class, consolidated, representative, collective, or private attorney general action related to a dispute brought by anyone else.

Except for disputes relating to infringement or misuse of intellectual property, or where you or a Company Party is seeking injunctive relief (the "Excluded Disputes"), you and the Company Parties agree to finally settle all disputes only through binding arbitration. In arbitration, there is no judge or jury and review is limited. The arbitrator decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction.

Any claim, suit, action, or proceeding arising out of or relating to IAMRP will be resolved solely by binding arbitration before a sole arbitrator under the Streamlined Arbitration Rules Procedures of JAMS Inc. or any successor to JAMS. If JAMS is unwilling or unable to administer the arbitration, either party may elect to have arbitration administered by another mutually agreeable arbitration service.

If an in-person hearing is required, it will take place in Miami, Florida; Atlanta, Georgia; Dallas, Texas; Bethesda, Maryland; Fort Lee, New Jersey; or another location required by applicable arbitration rules or law, whichever permitted location is closest to your residence. Disputes will be arbitrated only on an individual basis and will not be consolidated with proceedings involving claims of another party, except where required by applicable law or the applicable arbitration rules.

If a court or arbitrator holds that the individual arbitration restriction is unconscionable or unenforceable, or for any Excluded Dispute, the agreement to arbitrate does not apply and the dispute must be brought in a court of competent jurisdiction in Miami-Dade County, Florida, unless applicable law requires another venue. Either party may bring qualifying claims in small claims court.

16. General

IAMRP is void where prohibited by law. You agree not to participate if it is illegal to do so in your jurisdiction. We may assign these Terms in whole or in part without notice to you. You may not assign these Terms without our prior written consent. If any provision is held unenforceable, it will be construed as nearly as possible to reflect the parties intentions, with other provisions remaining in full force and effect. Failure to exercise or enforce any right or provision does not constitute waiver unless acknowledged and agreed to in writing.

Headings are inserted for convenience and do not define or explain provisions. Nothing in these Terms creates an agency, partnership, or joint enterprise between you and us. These Terms will not be construed against us by virtue of drafting.

17. Indemnification

To the maximum extent permitted by applicable law, IAMRP members agree to defend, indemnify, and hold the Company Parties harmless from all losses, damages, judgments, liabilities, claims, demands, costs, investigations, settlements, and expenses that directly or indirectly arise from or relate to participation in IAMRP or related activities; breach or anticipatory breach of these Terms; violation of laws, rules, regulations, codes, statutes, ordinances, or orders; misrepresentation; or the Company Parties use of your information as permitted under these Terms or another written agreement.

You will cooperate as fully required by the Company Parties in defense of any claim. The Company Parties reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you will not settle any claim without prior written consent of an authorized representative of the Company Parties. This section survives termination.

18. Modification of these Terms

CB Theater Experience reserves the right to modify these Terms from time to time with reasonable notice to members. We will notify you of changes by posting updated Terms on the IPIC website and may also notify you by email, account notice, in-app notice, or other means. Updated Terms will be effective as of posting or on a later date or by another method specified by us and will apply to participation beginning on the effective date.

19. Entire Agreement

These Terms constitute the complete and exclusive understanding between the Company and IAMRP members relating to the subject matter and supersede all prior or contemporaneous understandings, agreements, and advertising relating to the subject matter. Both parties acknowledge that they have not been induced to enter these Terms by representations or promises not specifically stated in these Terms.

20. Current Participating IPIC Locations and Associated Restaurants

These Terms apply to participating IPIC theaters, restaurants, and services operated under the IPIC brand by CB Theater Experience, including the following locations as of the Effective Date:
